Terms of Service
The SeniorCRE Terms of Service — including § 4 operator data ownership covering aggregated and de-identified data, audit and inspection rights, and 30-day FHIR/HL7 exit guarantees.
1. Description of Services
SeniorCRE is a cloud-based platform designed to support senior housing & care operations, real estate, investment management, analytics, marketplace services, and related business functions.
The Services are provided on a subscription basis and may include software applications, data analytics, decision-support tools, integrations, and third-party marketplace connections.
SeniorCRE does not provide medical, legal, accounting, or investment advice.
2. License Grant
Subject to these Terms and payment of applicable fees, SeniorCRE grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the subscription term for Customer's internal business purposes.
3. Customer Responsibilities
Customer acknowledges that the Services are operational and analytical tools and do not replace professional judgment or regulatory compliance obligations.
4.1 Customer Data — Owned by the Customer
Customer owns all data submitted to, generated within, or derived from Customer’s use of the Services that relates to Customer, its facilities, residents, employees, vendors, capital partners, operations, financial performance, clinical performance, or workforce performance (“ Customer Data ”).
For the avoidance of doubt, Customer Data includes every aggregated, anonymized, de-identified, statistical, or derived form of the underlying data, whether produced by the Services, by SeniorCRE personnel, or by any third party acting on SeniorCRE’s behalf. There is no separate category of “SeniorCRE-owned derived data” carved out of Customer Data.
4.2 SeniorCRE’s Limited License to Use Customer Data
This license terminates on expiration or termination of the Services, except for retention required by law, by Customer’s own legal hold, or by SeniorCRE’s standard backup retention schedule (with continued confidentiality and use restrictions).
4.3 What SeniorCRE Will Not Do
SeniorCRE’s business model is operator subscription revenue. SeniorCRE does not and will not book revenue from licensing Customer Data to third parties under these Terms.
4.4 Optional Data Licensing Addendum
If Customer elects to monetize a de-identified dataset derived from Customer Data — for example, to license it to a research partner — Customer and SeniorCRE may enter into a separately signed Data Licensing Addendum . Any such addendum must (a) be Customer-initiated, (b) be opt-in by affirmative written signature (no pre-checked boxes, no “deemed consent”), (c) specify the permitted recipient, purpose, and term, (d) provide Customer with a defined revenue share, and (e) be revocable by Customer on notice. 4.5 Audit Log and Inspection Right
SeniorCRE maintains an immutable, append-only audit log of every external read of Customer Data, including reads by SeniorCRE personnel, sub-processors, and any third party. Customer may request an export of its audit log at any reasonable time, in a machine-readable format, at no charge. Customer may, on 30 days’ notice and no more than once per twelve-month period, conduct a reasonable audit of SeniorCRE’s compliance with this Section 4 under mutually agreed confidentiality terms.
