SeniorCRE™ Terms of Service

Effective Date: February 23, 2026

These Terms of Service ("Terms") govern access to and use of the SeniorCRE™ platform and related services (collectively, the "Services") provided by SeniorCRE, LLC, a Texas limited liability company ("SeniorCRE," "we," "us," or "our").

By accessing or using the Services, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.


1. Description of Services

SeniorCRE™ is a cloud-based platform designed to support senior living operations, real estate, investment management, analytics, marketplace services, and related business functions.

The Services are provided on a subscription basis and may include software applications, data analytics, decision-support tools, integrations, and third-party marketplace connections.

SeniorCRE does not provide medical, legal, accounting, or investment advice.

2. License Grant

Subject to these Terms and payment of applicable fees, SeniorCRE grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the subscription term for Customer's internal business purposes.

Customer shall not:

  • Reverse engineer, decompile, or copy the Services
  • Use the Services to develop a competing product
  • Resell or provide access to third parties without authorization
  • Attempt to bypass security or access controls

All rights not expressly granted are reserved by SeniorCRE.

3. Customer Responsibilities

Customer is responsible for:

  • The accuracy and legality of all data submitted
  • Maintaining the confidentiality of user credentials
  • Compliance with all applicable laws and regulations
  • Ensuring that Authorized Users use the Services appropriately

Customer acknowledges that the Services are operational and analytical tools and do not replace professional judgment or regulatory compliance obligations.

4. Data Ownership and Use

4.1 Customer Data

Customer retains ownership of all data submitted to the Services that identifies Customer, its facilities, residents, employees, or operations ("Customer Data").

4.2 SeniorCRE Data Rights

SeniorCRE retains ownership of:

  • The Services and all related software and technology
  • Aggregated data
  • De-identified data
  • Usage data and system performance data
  • Benchmarking datasets
  • Derived analytics and insights
  • Predictive models and algorithms
  • Market intelligence and industry analysis

SeniorCRE may use Customer Data in aggregated and de-identified form to:

  • Operate and improve the Services
  • Develop analytics, benchmarking, and industry intelligence
  • Train and enhance algorithms and decision-support tools
  • Create commercial data products

No aggregated or de-identified data will identify Customer or any individual.

4.3 Derived Data and Platform Intelligence

Customer acknowledges and agrees that SeniorCRE™ shall have the perpetual, irrevocable, worldwide, royalty-free right to collect, use, analyze, modify, and commercialize data derived from Customer Data, provided such data is aggregated, anonymized, or de-identified so that it does not identify Customer or any individual.

SeniorCRE shall own all right, title, and interest in and to:

  • Aggregated data
  • De-identified data
  • Usage and operational metrics
  • Benchmarking datasets
  • Predictive models and algorithms
  • Market intelligence and industry analytics
  • Insights, trends, and statistical outputs

Such derived data shall not be considered Customer Data.

Customer shall not restrict SeniorCRE's use of aggregated or de-identified data for any lawful business purpose.

These rights shall survive termination or expiration of these Terms.

Sections relating to Aggregated Data, De-identified Data, and Derived Data shall survive termination of this Agreement.

5. Protected Health Information (PHI)

If Customer uses the Services to process Protected Health Information:

  • Customer is the Covered Entity
  • The parties will execute a Business Associate Agreement (BAA), if required
  • Customer is responsible for clinical accuracy and regulatory compliance
  • The Services support operational and documentation workflows but do not provide clinical decision authority

6. Artificial Intelligence and Analytics

The Services may include predictive analytics, automation, or artificial intelligence features.

Customer acknowledges:

  • AI outputs are informational and decision-support tools only
  • Results may be predictive or probabilistic
  • Customer is responsible for independent review and decisions

SeniorCRE makes no guarantees regarding operational, clinical, or financial outcomes.

7. Marketplace and Third-Party Services

The Services may provide access to third-party vendors, integrations, or service providers.

Customer acknowledges:

  • Third parties are independent of SeniorCRE
  • SeniorCRE is not responsible for third-party products or services
  • Any agreements with third parties are solely between Customer and the third party

8. Fees and Payment

Customer agrees to pay all applicable subscription and service fees.

Unless otherwise stated:

  • Fees are billed in advance
  • Subscriptions renew automatically for successive terms
  • Late payments may result in suspension of access

All fees are non-refundable except as required by law.

9. Service Availability

SeniorCRE will use commercially reasonable efforts to maintain Service availability.

The Services may be unavailable due to:

  • Scheduled maintenance
  • System upgrades
  • Internet or infrastructure failures
  • Events beyond SeniorCRE's control

Unless a separate Service Level Agreement is provided, uptime is not guaranteed.

10. Acceptable Use

Customer shall not:

  • Use the Services for unlawful purposes
  • Upload malicious code or harmful content
  • Attempt unauthorized access to other customers' data
  • Scrape, extract, or harvest data from the platform
  • Interfere with system security or performance

SeniorCRE may suspend access for violations.

11. Intellectual Property

The Services are licensed, not sold.

SeniorCRE retains all right, title, and interest in:

  • The platform and software
  • Designs, workflows, and architecture
  • Documentation
  • Trademarks and branding, including SeniorCRE™

Customer acquires no ownership rights.

12. Confidentiality

Each party agrees to protect the other's confidential information and use it only for purposes of performing under these Terms.

13. Security

SeniorCRE implements administrative, technical, and physical safeguards designed to protect Customer Data consistent with industry standards.

In the event of a confirmed security incident affecting Customer Data, SeniorCRE will provide notice consistent with applicable law.

14. Limitation of Liability

To the maximum extent permitted by law:

  • SeniorCRE's total liability shall not exceed the fees paid by Customer in the twelve (12) months preceding the claim.
  • SeniorCRE shall not be liable for indirect, incidental, consequential, or special damages, including lost profits, lost data, or business interruption.

15. Indemnification

Customer agrees to indemnify and hold harmless SeniorCRE from claims arising from:

  • Customer's misuse of the Services
  • Violation of laws or regulations
  • Inaccurate or unlawful Customer Data

SeniorCRE will defend Customer against claims that the Services infringe a third-party intellectual property right, subject to standard conditions.

16. Term and Termination

These Terms remain in effect during the subscription term.

Either party may terminate:

  • For material breach not cured within thirty (30) days
  • For non-payment

Upon termination:

  • Customer access will be disabled
  • Customer may request export of Customer Data within thirty (30) days

17. Assignment

Customer may not assign these Terms without SeniorCRE's consent.

SeniorCRE may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.

18. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Dallas County, Texas.

19. Changes to Terms

SeniorCRE may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

Results will vary and are not guaranteed. SeniorCRE™ does not provide investment advice.

SeniorCRE™ is designed to support industry-standard security and privacy practices, including HIPAA-aligned security and privacy safeguards. Specific certifications and compliance attestations will be provided where applicable.

SeniorCRE™ provides technology tools to support information exchange and transaction workflows. SeniorCRE™ is not acting as a real estate broker, financial advisor, fiduciary, or intermediary unless engaged under a separate written agreement.

Platform functionality may vary based on customer configuration, integration availability, and product development status. Certain features may be available only in specific environments or deployment phases.
