End User License Agreement
The SeniorCRE End User License Agreement — terms under which authorized users access the platform, with explicit data-sovereignty and audit-rights provisions.
1. License Grant
license to access and use the SeniorCRE platform solely for Customer's internal business purposes during the subscription term.
This Agreement grants a license only. The platform is licensed, not sold.
2. Ownership and Intellectual Property
Customer acquires no ownership rights in the platform or related intellectual property.
3.1 Customer Ownership
Customer owns all data submitted to, generated within, or derived from Customer’s use of the platform that relates to Customer, its facilities, residents, staff, vendors, capital partners, or operations (“ Customer Data ”).
Customer Data includes every aggregated, anonymized, de-identified, statistical, or derived form of the underlying data, however produced. There is no carve-out of derived data from Customer ownership under this Agreement.
3.2 SeniorCRE’s Limited License
This license terminates on expiration or termination of the subscription, except for retention required by law, Customer legal hold, or SeniorCRE’s standard backup retention (with continued confidentiality and use restrictions).
3.3 What SeniorCRE Will Not Do
SeniorCRE’s business model is operator subscription revenue. SeniorCRE does not and will not book revenue from third-party licensing of Customer Data under this Agreement.
3.4 Optional Data Licensing Addendum
If Customer elects to monetize a de-identified dataset derived from Customer Data, Customer and SeniorCRE may enter into a separately signed Data Licensing Addendum that is Customer-initiated, opt-in by affirmative written signature, scope-limited, revenue-sharing, and revocable on notice. Absent an executed addendum, Section 3.3 controls without exception.
3.5 Audit Log, Portability, and Survival
SeniorCRE maintains an immutable, append-only audit log of every external read of Customer Data and will provide Customer with machine-readable exports of that log on request. On termination or written request, SeniorCRE will return Customer Data in standard, portable formats within 30 days at no additional charge beyond reasonable, pre-disclosed extract fees.
Sections 3.1, 3.3, and 3.5 survive termination or expiration of this Agreement.
4. Authorized Users and Security
The platform enforces access controls at the database level using Row-Level Security (RLS). Users are restricted to data within their assigned property, region, or organizational scope. Agency and temporary staff access automatically expires at the end of the assigned period. Concurrent session limits are enforced per role to prevent credential sharing.
SeniorCRE may suspend access for security risks, misuse, or violation of access policies.
