SeniorCRE™ End User License Agreement (EULA)
Effective Date: February 23, 2026
This End User License Agreement ("Agreement") is entered into between SeniorCRE, LLC, a Texas limited liability company ("SeniorCRE," "we," or "us"), and the individual or entity accessing or using the SeniorCRE™ platform ("User" or "Customer").
By accessing or using the platform, you agree to be bound by this Agreement.
1. License Grant
Subject to this Agreement and payment of applicable fees, SeniorCRE grants Customer a:
- Limited
- Non-exclusive
- Non-transferable
- Non-sublicensable
license to access and use the SeniorCRE™ platform solely for Customer's internal business purposes during the subscription term.
This Agreement grants a license only. The platform is licensed, not sold.
2. Ownership and Intellectual Property
SeniorCRE retains all right, title, and interest in and to:
- The SeniorCRE™ platform and software
- System architecture, workflows, and interfaces
- Documentation and training materials
- Algorithms, models, and analytics
- Trademarks, branding, and logos
Customer acquires no ownership rights in the platform or related intellectual property.
Customer shall not:
- Copy, modify, or create derivative works
- Reverse engineer or attempt to extract source code
- Use the platform to develop a competing product
- Resell or distribute access without authorization
3. Customer Data
3.1 Customer Ownership
Customer retains ownership of all data submitted to the platform that identifies Customer, its facilities, residents, staff, or operations ("Customer Data").
3.2 SeniorCRE Rights
SeniorCRE owns and may use:
- Aggregated data
- De-identified data
- Usage and performance data
- Benchmarking datasets
- Derived analytics and insights
- Predictive models and algorithms
- Market intelligence and industry analysis
SeniorCRE may use Customer Data in aggregated and de-identified form to:
- Operate and improve the platform
- Develop analytics and benchmarking products
- Train machine learning and AI models
- Create commercial data and industry intelligence offerings
No aggregated or de-identified data will identify Customer or any individual.
This section preserves SeniorCRE's data platform rights.
3.3 Derived Data and Platform Intelligence
Customer acknowledges and agrees that SeniorCRE™ shall have the perpetual, irrevocable, worldwide, royalty-free right to collect, use, analyze, modify, and commercialize data derived from Customer Data, provided such data is aggregated, anonymized, or de-identified so that it does not identify Customer or any individual.
SeniorCRE shall own all right, title, and interest in and to:
- Aggregated data
- De-identified data
- Usage and operational metrics
- Benchmarking datasets
- Predictive models and algorithms
- Market intelligence and industry analytics
- Insights, trends, and statistical outputs
Such derived data shall not be considered Customer Data.
Customer shall not restrict SeniorCRE's use of aggregated or de-identified data for any lawful business purpose.
These rights shall survive termination or expiration of this Agreement.
Sections relating to Aggregated Data, De-identified Data, and Derived Data shall survive termination of this Agreement.
4. Authorized Users and Security
Customer is responsible for:
- Managing user access
- Maintaining credential confidentiality
- All activity conducted under its accounts
- Ensuring Users comply with this Agreement
SeniorCRE may suspend access for security risks or misuse.
5. Protected Health Information (PHI)
If Customer uses the platform to store or process PHI:
- Customer is responsible for compliance with applicable healthcare laws
- The parties will execute a Business Associate Agreement (BAA) if required
- Customer is responsible for clinical accuracy and regulatory compliance
The platform supports operational workflows and does not replace clinical judgment.
6. Artificial Intelligence and Decision Support
The platform may include analytics, predictive modeling, or artificial intelligence features.
Customer acknowledges:
- Outputs are informational and decision-support tools only
- Results may be predictive or probabilistic
- Customer is solely responsible for operational, clinical, financial, and investment decisions
SeniorCRE makes no guarantees regarding outcomes or performance.
7. Third-Party Services and Marketplace
The platform may provide access to third-party vendors, integrations, or service providers.
Customer acknowledges:
- Third parties operate independently of SeniorCRE
- SeniorCRE is not responsible for third-party products or services
- Any agreements with third parties are solely between Customer and the third party
8. Acceptable Use
Customer shall not:
- Use the platform for unlawful purposes
- Upload malicious code or harmful content
- Attempt unauthorized access to other customers' data
- Scrape or extract platform data in bulk
- Interfere with platform security or performance
SeniorCRE may suspend or terminate access for violations.
9. Subscription and Fees
Access to the platform requires payment of applicable subscription fees.
Unless otherwise specified:
- Fees are billed in advance
- Subscriptions renew automatically
- Late payments may result in suspension
Fees are non-refundable except as required by law.
10. Availability
SeniorCRE will use commercially reasonable efforts to maintain platform availability.
The platform may be unavailable due to:
- Scheduled maintenance
- System updates
- Internet or infrastructure issues
- Events beyond SeniorCRE's control
Unless covered by a separate SLA, uptime is not guaranteed.
11. Confidentiality
Each party agrees to protect confidential information and use it only for purposes of performing under this Agreement.
12. Security
SeniorCRE implements administrative, technical, and physical safeguards consistent with industry standards.
If a confirmed security incident affecting Customer Data occurs, SeniorCRE will provide notice as required by applicable law.
13. Limitation of Liability
To the maximum extent permitted by law:
- SeniorCRE's total liability shall not exceed the fees paid by Customer during the twelve (12) months preceding the claim.
SeniorCRE shall not be liable for:
- Indirect or consequential damages
- Lost profits or revenue
- Business interruption
- Loss of data
14. Indemnification
Customer agrees to indemnify SeniorCRE from claims arising from:
- Customer's misuse of the platform
- Violation of applicable laws
- Inaccurate or unlawful Customer Data
SeniorCRE will defend Customer against third-party claims that the platform infringes intellectual property rights, subject to standard conditions.
15. Term and Termination
This Agreement remains in effect during the subscription term.
SeniorCRE may suspend or terminate access for:
- Non-payment
- Security risk
- Material breach
Upon termination:
- Access will be disabled
- Customer may request export of Customer Data within thirty (30) days
16. Assignment
Customer may not assign this Agreement without SeniorCRE's consent.
SeniorCRE may assign this Agreement in connection with a merger, acquisition, financing, or sale of assets.
17. Governing Law
This Agreement is governed by the laws of the State of Texas.
Any disputes shall be resolved in the state or federal courts located in Dallas County, Texas.
18. Changes to this Agreement
SeniorCRE may update this Agreement from time to time. Continued use of the platform after updates constitutes acceptance.
