Non-Disclosure Agreement (NDA)
For Evaluation of Confidential Business Information
This Non-Disclosure Agreement ("Agreement") is made and entered into on:
1. Purpose
The Receiving Party desires to obtain information from the Broker and/or Seller for the sole purpose of evaluating the potential purchase, lease, or investment in the subject business or property ("Subject Business"). In consideration of the confidential information being provided, the Receiving Party agrees to the terms below.
2. Confidentiality
The Receiving Party agrees to:
- Keep all information provided by the Broker or Seller strictly confidential, including verbal, written, or electronic data, reports, records, or materials.
- Refrain from disclosing such information to any third party, except professional advisors directly involved in the evaluation.
- Use the information solely for the purpose of evaluating the potential acquisition and not to compete with, harm, or interfere with the Seller's business.
3. Broker Relationship
The Receiving Party acknowledges that the Broker represents the Seller exclusively (unless otherwise stated below). All contact with the Seller, its employees, customers, vendors, or landlord must be made only through the Broker. The Receiving Party shall not take any actions that may interfere with or hinder the Broker's right to compensation in connection with this transaction. Any breach of this provision may make the Receiving Party liable for the Broker's full commission.
4. Accuracy of Information
The Broker makes no representations or warranties, express or implied, regarding the accuracy or completeness of the information provided. All such representations are the sole responsibility of the Seller. The Receiving Party is encouraged to perform its own due diligence at its own expense prior to entering into any transaction.
5. Financial Verification
Prior to submitting any offer, the Receiving Party shall provide verification of financial ability to complete the proposed transaction. Any personal or financial information shared with the Broker will be kept confidential and used solely for the purpose of this potential transaction.
6. Return or Destruction of Information
If no transaction is completed, the Receiving Party agrees to return or destroy all confidential information, upon written request from the Broker or Seller.
7. Binding Effect
This Agreement shall be binding upon the parties, their agents, successors, and assigns, and shall be governed by the laws of the state in which the Brokerage or Seller is located.
